- 1. Precedence of terms
- The Client expressly waives its own terms and conditions, even if issued later. Any deviation must be expressly agreed in writing by Yuri Hidalgo Alonso | Guruti Solutions.
- 2. Payment terms
- Invoices are payable within a maximum of 15 business days, unless another payment term is stated on the invoice or order.
- 3. Late payment, interest and collection
- If payment is overdue, Yuri Hidalgo Alonso | Guruti Solutions may apply late-payment interest in accordance with applicable law and claim the statutory minimum recovery compensation (including the fixed per-invoice fee where applicable), plus any duly evidenced additional reasonable recovery costs.
- If payment remains outstanding more than 30 days after due date, Yuri Hidalgo Alonso | Guruti Solutions may use debt collection services and/or take legal action, with related costs borne by the Client.
- 4. Suspension of services
- In the event of late payment, Yuri Hidalgo Alonso | Guruti Solutions may suspend services and/or deliverables without prior notice, without liability.
- 5. Withholding taxes (international clients)
- Certain jurisdictions may apply withholding tax under local rules. Any withholding, local tax or compliance cost shall be borne by the Client, unless otherwise agreed in writing, ensuring the Provider receives the full agreed net amount.
- 6. International clients and U.S. clause
- 6.1. Remote services from Spain: Services are provided remotely from Spain, unless otherwise agreed in writing
- 6.2. Provider taxation: The Provider reports and pays taxes in Spain on income derived from the services.
- 6.3. No withholding expected / gross-up if legally required: No withholding tax is expected. If withholding becomes legally mandatory in the U.S. (or Client’s jurisdiction), the Client is responsible for compliance and shall gross-up payments so the Provider receives the full agreed net amount, unless otherwise expressly agreed in writing.
- 6.4. Bank/intermediary fees: Any intermediary bank fees or transfer charges shall be borne by the Client to ensure the agreed net amount is received (unless agreed otherwise).
- 7. Best-efforts obligation (no guarantee of results)
- Yuri Hidalgo Alonso | Guruti Solutions will use best efforts to deliver services within agreed timelines; obligations are best-efforts, not a guarantee of results.
- 8. No third-party appearance
- The Provider shall not be required to appear as a third party in consumer/end-customer claims (or other third-party claims) brought against the Client.
- 9. Claims
- To be admissible, any claim must be notified in writing within 8 calendar days from the relevant delivery/completion.
- 10. Governing law and jurisdiction
- All contractual relations are governed exclusively by Spanish law. Any dispute shall be submitted to the Courts of Barcelona, Spain, unless mandatory rules apply.
GDPR / PRIVACY clauses (EN)
In accordance with Regulation (EU) 2016/679 (GDPR) and Spanish Organic Law 3/2018, the data provided will be processed under the responsibility of Yuri Hidalgo Alonso, Spanish Tax ID NIF 46181996C, for the purposes of service delivery, business relationship management and invoicing, as well as professional communications related to the service. Data will be kept for the duration of the relationship and applicable legal retention periods. Data will not be disclosed to third parties unless legally required or operationally necessary for the service (processors/providers).
